Salient
Cybertech Inc. is a holding company with years of experience in
both electronics and computer industries. The company plans to
acquire a portfolio of emerging growth and development stage
companies in the Internet and electronics-related industries.
Salient’s two current operating subsidiaries, Gemini Learning
Systems, Inc. and Futronix, Inc., are already showing potential as
prominent players in their respective industries. Salient has been

September 1999, Salient acquired Gemini, a pioneer in the creation
of customized, pedagogically sound eLearning solutions that
promote more effective and efficient learning. Over the past

Gemini

In
May 2000, Salient acquired Futronix, Inc., an established
Electronic Contract Manufacturer (ECM) since 1989. The company
provides Design and Test Development assistance in conjunction
with Manufacturing Services, or can be a stand-alone operation.
Futronix Inc. is experienced in all aspects of electronic
manufacturing from initial design for manufacturability guidance
to procurement and inventory, all the way to quality products
delivered on time.
Futronix
is an ISO 9002-certified consignment and turnkey ECM, with
acquired assets valued at more than $4.7 million. Futronix is fast
becoming a substantial competitor in this field with the help of
Salient’s support and resources. Futronix’s projected revenues
for fiscal 2001 are estimated between $12 to $15 million.

Announcements and News:
Gemini
Learning Systems, Inc. and Rand Worldwide(TM), jointly announced
recently that they have signed a multi-year licensing agreement to
deliver e-learning solutions to clients. RAND Worldwide is focused
on providing resources and tools for engineers and becoming a
world leader in offering web-based engineering services and
technology. This includes providing the training to make these
tools effective within multiple engineering disciplines. Gemini is
a recognized pioneer in the e-learning industry, and has a strong
ten-year record of successful product development and service to
clients.
"There
are very strong synergies here, for all sides of this
equation." commented Brian Semkiw, P.Eng., RAND's Chief
Executive Officer. "RAND is gaining Gemini's unquestioned
expertise in e-learning; Gemini gains a significantly broader
product range; and, for both of our customer bases, we are
confident that this is the strongest training service offering
available." In addition to providing ASP (Application Service
Provider) hosting and technology infrastructure for RAND's
courseware delivery requirements, Gemini will also provide
consulting expertise to convert RAND's comprehensive library of
instructor-led engineering courses.
The
company also recently announced that its subsidiary Gemini
Learning Systems Inc. has entered into a pilot project agreement
with Dole Food Company, Inc., Asia Division, to deliver eLearning
to Dole employees using Gemini's eLearning solution. The
Dole/Gemini pilot project involves rolling out an internal Dole
eLearning training program to 15,000 employees across three Dole
Asia Divisions. Depending on the success of this endeavor, there
may be an opportunity to expand the number of courses being
offered.
According
to recent filings, Nortel Networks Corp. is also delivering a
proprietary course Gemini has redesigned and converted into SWIFT
to approximately 120 people as part of a pilot evaluation that
commenced early in the new year. If Nortel is satisfied with the
evaluation, including feedback from the employee participants,
Nortel plans to convert the course into eight languages and
rolling out the course to its employees. Nortel Networks
Corp.(NYSE: NT) is a leading global supplier of networking
solutions and services, supporting voice, data, and video
transmission over wireline and wireless technologies.
Gemini
Learning Systems, Inc., has also announced that Dell Canada, a
wholly owned subsidiary of Dell Computer Corporation has received
a proprietary course Gemini has redesigned and converted into
SWIFT for evaluation. Initial response from Dell's management has
been positive, and Gemini is currently developing an eLearning
Management System for testing and field evaluation. Gemini has
been informed that Dell will purchase and sign a maintenance
agreement with Gemini for delivery of the System to its management
if the test results are positive. Dell Computer Corporation (NasdaqNM:
DELL) is the world's largest direct sales computer systems
company. Dell Sells its products and services to large corporate,
government, healthcare and education customers, small to medium
sized businesses and individuals.
Caliber
Learning Network, Inc. has also received a proprietary course
Gemini has redesigned and converted into SWIFT for evaluation.
Initial response from Caliber's management has been positive, and
the two companies are currently discussing various products and
services offered by Caliber that could use Gemini's technologies,
as well as intra-company uses that Caliber could make of the
Gemini technology. Caliber Learning Network, Inc. (NasdaqNM:
CLBR) produces and supports Internet-based learning and
communications services to major corporations, universities, and
working adults.
Summary:
Salient
Cybertech Inc. (OTCBB: SLEL) is an attractive consideration to
both aggressive and conservative speculative investors. At current
price levels, SLEL is appealing with its significant potential in
a high growth industry with a strong product line, in-process
products, and a new emphasis on e-Learning. The company also has
affiliations with larger entities such as Nortel Networks Corp,
Dell Canada, and Caliber Learning Network Inc.
The
stock has been severely beaten to its current level since its high
over $9.00 last March. SLEL has been basing at its 52-week low in
the range of $0.15 to $0.20 and in the past several days, has been
trading heavy with five times its 3-month daily average. The stock
appears to have based, under accumulation and now poised for
moderate to significant price appreciation in the short term.
