COMPANY DESCRIPTION
International Assets Advisory Corp. ("IAAC") is a fully-owned subsidiary of International Assets Holding Corp. (Nasdaq: IAAC). IAAC is a full service broker-dealer offering a variety of proprietary and non-proprietary products to clients around the globe. IAAC provides investment services to a wide array of clients ranging from high net worth individuals to small and mid-sized institutions. While the majority of the Company's clients reside in the United States, a small but growing number of clients are overseas in areas as diverse as Southeast Asia, Latin America and Europe.

The roots of International Assets Advisory Corp. (IAAC) date back to 1975, when its predecessor was founded in San Jose, Costa Rica as a joint venture with a major investment banking firm. Covering most of the Western Hemisphere, the company was a pioneer in offering institutional and private investors the opportunity to invest in global fixed income and equity markets. Diego J. Veitia, chairman of the company, is one of the founding partners of the predecessor company. He has brought his rich expertise to our current operations.

In 1982, IAAC opened an office in the United States as a full service broker/dealer specializing in the global diversification of assets. With that objective in mind, our management team is continually monitoring financial markets worldwide in search of investment opportunities.

The philosophy of the firm, beyond the general notion of diversifying investment assets around the globe, is to focus on finding, or developing, investments which are likely to provide superior returns over a period of several years without entailing excessive risk. This philosophy is the common denominator that permeates all of the Company's product and service offerings.

As the Company has grown over the years, its operations have become more complex and sophisticated. The Company recognizes that in order to grow in an industry where competitive pressures are in constant ascent, its ability to demonstrate to its present and potential clients that it can "add value" is critical. The Company has achieved this objective due to the culture of knowledge and excellence that the firm's management team strives daily to create.

With approximately ninety employees united in the pursuit of unparalleled service and innovative investment products, the Company is well positioned to meet the ever-changing needs of a dynamic and competitive marketplace.

International Assets Holding Corporation's principal activities are securities brokerage and the trading of and market-making in securities. The Company was formed for the purpose of serving as a holding company for International Assets Advisory Corp. Currently, the Company has six wholly owned subsidiaries; IAAC, which operates a full-service securities brokerage firm specializing in global investing on behalf of its clients and other subsidiaries; Global Assets Advisors, Inc., which provides investment advisory and money management services; INTLTRADER.COM, INC., formed to provide on-line brokerage transactions of foreign and domestic securities using the Internet; International Asset Management Corp., which functions as the manager of the physical assets of the Company; International Financial Products, Inc. currently inactive; and OffshoreTrader.com Ltd (OTCL), formed to explore global Internet securities trading for non-U.S. citizens.

As our clearing firm, Wexford provides INTLTRADER.COM customers with additional Net Equity Insurance Coverage beyond the basic SIPC protection.  Specifically, the additional protection covers the total amount of fully-paid for securities and cash balances in a customer's account, without limit, in the unlikely event of a SIPC liquidation.

The additional protection is underwritten by Asset Guaranty Insurance Company, rated AAA by Duff & Phelps and AA by Standard & Poors as of year end 1997.

Veitia, Diego J.,  (56) Chairman of the Board, President, Chief Executive Officer
Diego J. Veitia founded the Corporation in 1987 to serve as a holding company for IAAC and other subsidiaries. He has served as Chairman of the Board, Director and Chief Executive Officer of the Corporation since its inception. He also served as President of the Corporation from 1987 until 1991. Mr. Veitia founded IAAC in 1981 and has served as Chairman of the Board and Director since that time. Mr. Veitia is also currently serving as Chairman and Chief Executive Officer of GAA, IAMC, IFP and as Chairman of ITA. Mr. Veitia also serves as Chairman of Veitia and Associates, Inc., an inactive registered investment advisor. Mr. Veitia served as Chairman of All Seasons Global Fund, Inc., a publicly held closed-end management investment company from October 1987 until October 1996. During the last five years, Mr. Veitia has also served as Director of America's All Seasons Income Fund, Inc., an inactive management investment company. Mr. Veitia was appointed President on November 12, 1999.
Miceli, Jerome F.,  (56) Director
Jerome F. Miceli has been a Director of the Corporation since 1990 and has served as President, Chief Operating Officer and Treasurer of the Corporation since 1991. Mr. Miceli has also served as President, Chief Executive Officer, Treasurer and Director of IAAC since 1990. Mr. Miceli also currently serves as President, Treasurer and Director of GAA, IAMC and IFP. Mr. Miceli also serves as Chief Executive Officer, President and Treasurer of ITA. In addition, from December 1990 until October 1996, Mr. Miceli served as Treasurer and Director of All Seasons Global Fund Inc., a publicly held closed-end management investment company. Mr. Miceli is also President of Veitia and Associates, Inc., an inactive registered investment advisor. Mr. Miceli resigned as President, Chief Operating Officer and Treasurer on November 12, 1999, but remains a member of the Board of Directors.
Miller, Ph.D., Robert A.,  (56) Director
Robert A. Miller, Ph.D. became a Director of the Corporation in February, 1998. Dr. Miller has served as President of Nazareth College in Rochester, New York since 1998. Dr. Miller previously served as the Academic Vice President of Queens College in Charlotte, North Carolina from 1994 to 1998. In addition, Dr. Miller served as Provost of Antioch University in Ohio from 1991 to 1994. Dr. Miller served as a Director of All Seasons Global Fund, Inc., a publicly held closed-end management investment company from 1988 until 1996.
Rush, M.D., Jeffrey L.,  (59) Director
Jeffrey L. Rush, M.D. became a Director of the Company in February 1999. Dr. Rush is a graduate of Dartmouth and State University New York Medical School in 1966. He has been a Board Certified Radiologist since 1972. Dr. Rush served as Chairman of the Radiology Department at Alvarado Medical Center, San Diego, CA from 1972 - 1994. In addition, he served on the Advisory Board, National Medical Enterprises (Tenet Health) from 1982 - 1990. Dr. Rush presently serves as Chairman of Pacific Medical Building, LP, a developer and owner of medical office buildings and clinics. He has served in that capacity since 1991.
Gerard, Gregory T.,  (39) Senior Vice President of Global Business Development
Mr. Gerard was formerly a Managing Director for Credit Lyonnais Securities in New York, responsible for North American Mergers and Acquisitions. Prior to that, Mr. Gerard held positions at Chase Securities Inc., BANEXI (Banque Nationale de Paris), and PaineWebber. Mr. Gerard holds a BA in Economics from Tufts University and earned his MBA in Finance and Accounting at the Columbia University Graduate School of Business.
Saker, Stephen A.,  (53) Vice President, Secretary and Director
Stephen A. Saker has been a Director of the Corporation since 1990 and has served as Secretary and Vice President of the Corporation since 1991. Mr. Saker has also served as Director, Executive Vice President and Secretary of IAAC since 1985. Mr. Saker currently serves as Executive Vice President, Secretary and Director of GAA, IAMC and ITA. Since November 1991, Mr. Saker has served as Vice President and Secretary of Veitia and Associates, Inc. Mr. Saker also served as Secretary and Director of All Seasons Global Fund, Inc. from October 1987 until October 1996.
Veitia, Tresa N.,  (34) Vice President and Director of Marketing
Tresa N. Veitia joined IAAC in September 1995 and currently serves as Vice President and Director of Marketing for the Company, IAAC, GAA, ITCI, IFP and OTCL. Prior to joining the Company, Ms. Veitia was an account supervisor at Ogilvy & Mather in New York. Ms. Veitia received an MBA from Columbia University in 1989.
Hinz, Jonathan C.,  (37) Chief Financial Officer and Treasurer
Jonathan C. Hinz joined the Company in October 1995 and currently serves as Chief Financial Officer and Treasurer for the Company, IAAC, GAA, ITCI, IFP, IAMC and OTCL. Prior to joining the Company, Mr. Hinz served as Chief Financial Officer and Controller of Computer Science Innovations, Inc. from 1987 to 1995. Mr. Hinz is a certified public accountant.
