BUSINESS SCOPE

KEY INVESTOR POINTS

Composite Industries of America, Inc., head-quartered in Las Vegas, NV, provides products and services in three essential areas: housing, energy and communications. The company targets both U.S. and International markets. 

World Homes, Inc. and Affordable Homes of America, Inc., are housing divisions of Composite Industries of America. They provide safe, strong, energy efficient homes constructed primarily of Zmix. Z mix is a proprietary patented building material designed to make homes earthquake, fire and wind resistant (up to 150 MPH), as well as to provide superior insulation qualities.

Tribal Electric Association-2000 is a wholly owned subsidiary of Composite Industries of America. The company develops electric power plants specifically on Indian reservations or nations. Tribal Electric’s primary focus is to build low capacity (under 50 Mega Watts) "peaker" power plants which are more efficient and profitable than competitive plants with larger capacities. Each power plant will be built on a sovereign Indian Nation and will not be subject to costly governmental bureaucratic regulations and fees.

Through its acquisition of M.J.B. Towers, Inc., Composite Industries of America acquires telecommunication leases issued to building and landowners for the purpose of constructing telecommunications towers.

CIAI’s acquisition strategy is based solely upon the exchange of Convertible Preferred stock. A high strike price eliminates the dilution of CIAI stock as well as any tax liability since a cash payment is not part of the transaction. In addition, Composite Industries of America assumes no debt.

 

KEY INVESTOR POINTS

 

  Two "peaker" (meaning a plant under 50 Mega Watts) power plants will generate annual revenues of $73 million with an operating profit of about $43 million (both plants will be completed by August, 2002).

  Telecommunications Towers provides a secure and predictable revenue stream.

  Over a 10-year period, M.J.B.Towers will yield $135 million from 2,250 leases of telecommunications towers generating a gross profit of $95 million.

  The homes built by World Homes and Affordable

  Homes of America cut the costs of a new home by one third.

  Tribal Electric has a strategic alliance with Stone and Webster for all engineering, design and construction. Stone and Webster have built approximately $70 billion in value of power plants over the past 111 years in business.

  CIAI is currently debt free.

  Z Mix is the most environmentally friendly product because it eliminates the use of timber products and purges the marketplace of the ever-increasing supply of used tires.

 

KEY INDUSTRY POINTS

 

  Currently there are over 250,000 telecommunications towers constructed and operational in the U.S.

  The Federal Government has stated that by the year of 2030, there will be a power shortage of 60,000,000 mega watts.

  There are approximately 550 Indian nations in the U.S. alone.


 

MANAGEMENT

 

Merle Ferguson, Chairman, President and CEO

Merle Ferguson founded Affordable Homes of America, Inc. and Composite Industries of America in 1997. Prior to starting Affordable Homes Mr. Ferguson spent 22 years in the construction industry as a developer and builder. Mr. Ferguson built commercial and residential buildings in California, Oregon and Washington.

William Morris, Executive Vice President

and Chief Financial Officer

Over a 38-year career, Mr. Morris has served as a Chief Financial Officer for 27 years including positions as Director and Chief Financial Officer for several major electronic corporations such as Sony/Superscope/Marantz Japan which had revenues of about $2.5 billion annually. In addition, Mr. Morris served as a Director of a New York Stock Exchange (NYSE) company for 20 years and at one time was the youngest CFO of a NYSE company. Bill has also worked in the capacity of CFO for Motown Records, The Hollywood Reporter and Trans Global Network.

Tarzan Honor, President and Chief Executive

Officer, Tribal Electric Association

Mr. Honor is the Chief Executive Officer of The Tribal Electric Association - 2000. Tribal Electric is engaged in developing, constructing and operating electric power plants throughout the world, specializing in plants with an output capacity from 50 to 250 mega watts of power. Mr. Honor’s career spanned more than 20 years in the public and private sectors with responsibility for budgets up to $25,000,000.

Thomas B. Lief, President, Affordable Homes of America, Inc.

Mr. Lief has spent the last ten years in land development and residential home building in the Northwest specializing in entry-level and affordable housing projects. Mr. Lief is also a member of the State Bar of California and the American Bar Association. Prior to 1990, Mr. Lief served as Vice President and General Counsel for Macrodyne Industries, Inc., an American Stock Exchange listed company, and Staff Counsel at McDonnell Douglas Corporation in Long Beach, California.

William T. Anton, President, World Homes, Inc.

Dr. Anton has spent the last five years with World Technologies Associates implementing satellite communications with Internet service to Eastern Europe and arranging international financing for these projects. Prior to 1995, Dr. Anton was a professor of Management and Marketing at Schiller International University in Heidelberg, Germany.  From 1970-1990 Dr. Anton served in the United States Army in numerous command and staff positions, which included tours in Europe, the Orient, Central and South America, and the United States. His last assignment before retiring was Division Chief, Directorate of Plans and Policies, at the National Security Agency. This assignment involved briefing the Chairman of the Joint Chiefs of Staff, the Secretary of Defense, and numerous Congressmen on the implementation of worldwide plans and policies.
